Senior Financial Due Diligence

About the role

EY-Parthenon combines strategy, transactions and corporate finance to support investors, corporates and governments. Its Transaction Diligence team supports private equity and corporate clients on acquisitions, disposals and strategic transactions through rigorous financial analysis. It is hiring a Senior professional to join its financial due diligence team, taking ownership of key workstreams and supporting deals from scoping through to signing.

Key responsibilities

• Execute buy-side, sell-side and vendor-assistance financial due diligence engagements with Managers and Partners
• Own workstreams such as quality of earnings, working capital and net debt, cash flow and liquidity analysis, and historical and forecast performance reviews
• Analyse target businesses and identify risks, value drivers and deal considerations
• Work directly with clients and target company management, including management meetings and Q&A sessions
• Prepare due diligence reports and review financial models, challenging assumptions behind forecasts and valuations
• Support multiple concurrent transactions and contribute to proposals and client pitches

Required profile

• 2-5+ years of direct financial due diligence experience, ideally in a Big 4, boutique advisory firm or transaction-focused environment
• Proven experience on M&A transactions (buy-side and/or sell-side)
• Strong understanding of deal mechanics (enterprise value to equity bridge, working capital adjustments, debt-like items) and financial statement analysis in a transaction context
• Ability to manage multiple deadlines in fast-paced deal environments, with a proactive, ownership-driven approach and teamwork across service lines
