Manager - Financial Due Diligence

About the role

EY-Parthenon combines strategy, transactions and corporate finance to support investors, corporates and governments. Its Transaction Diligence team supports acquisitions, disposals and strategic investments through detailed financial analysis. The firm is looking for experienced Financial Due Diligence Managers who can lead engagements, manage teams and own client relationships across several concurrent transactions.

Key responsibilities

• Lead buy-side, sell-side and vendor-assistance engagements from planning through to reporting, defining scope, managing timelines and coordinating tax, strategy and other workstreams
• Review quality of earnings and EBITDA normalisation, working capital analysis, net debt and debt-like items, and cash flow, liquidity and funding requirements
• Provide insights on deal risks, upsides and structuring, challenge management assumptions and turn analysis into commercial conclusions and negotiation points
• Act as the main day-to-day contact for private equity and corporate investors, lead management meetings, Q&A and data room work, and present to investment committees
• Manage and coach senior and junior team members, and support team development
• Support proposals, pitches and client pursuits, and identify cross-selling opportunities within EY-Parthenon and EY

Required profile

• 6-8+ years of relevant experience, with a strong focus on financial due diligence
• Proven track record of leading FDD engagements, ideally in a Big 4 or transaction advisory environment
• Experience in buy-side and sell-side transactions, managing multiple deals at once and dealing directly with senior clients
• Strong team leadership, project management and communication skills, able to work autonomously in fast-paced, high-pressure environments

• Ability to identify value drivers and risks and turn analysis into clear commercial insight
